বাংলাদেশের সকল কোম্পানী The Registrar of Joint Stock Companies and Firms (RJSC) দ্বারা নিবন্ধিত ও নিয়ন্ত্রিত হয়। কোম্পানী তার কার্যক্রম সম্পর্কে নির্ধারিত সময়ে নির্ধারিত ফরমে RJSC কে অবহিত করে থাকে। তাই কোম্পানী গঠনের পরে কখন কোন ধরনের রিটার্ন RJSCতে জমা দিতে হয়, তা জেনে রাখা দরকার।
আর যেসকল কোম্পানী বাংলাদেশ স্টক এক্সচেঞ্জে নিবন্ধিত সেকল কোম্পানীগুলোকে RJSC ছাড়াও BSEC, DSE, CSE এর প্রণীত আইন ও অর্ডার মেনে চলতে হয়। এসকল প্রতিষ্ঠানসমূহের প্রতিষ্ঠান পরিচালনায় বিভিন্ন ধরনের নিয়ম নীতি মেনে চলতে এবং যথাসময়ে সেই বিষয়ে রিপোর্ট তৈরি করে সংশ্লিষ্ট কর্তৃপক্ষের নিকট দাখিল করতে হয়। একটি প্রতিষ্ঠানের যতধরনের কমপ্লায়েন্স মেনে চলতে হয় এবং যত ধরনের রিপোর্ট বিভিন্ন নিয়ন্ত্রণ কর্তৃপক্ষের নিকট জমা দিতে হয় তার তালিকা ছকে প্রকাশ করা হলো।
Secretarial Compliance to Submit Return
বাংলাদেশের সকল ধরনের কোম্পানীকে Secretarial Compliance মেনে চলতে এবং ভবিষ্যতে বিভিন্ন জরিমানা থেকে পরিত্রাণ পেতে নিম্নোক্ত রিটার্নসমূহ নির্ধারিত সময়ে The Registrar of Joint Stock Companies and Firms (RJSC) তে জমা দিতে হবে। এছাড়াও যেসকল কোম্পানী বাংলাদেশ স্টক এক্সেচেঞ্জ এ নিবন্ধিত তাদেরকে আরও অতিরিক্ত কিছু রিপোর্ট ও রিটার্ন বাংলাদেশ স্টক এক্সচেঞ্জ কমিশন (BSEC) এবং দুই স্টক এক্সচেঞ্জ; ডিএসই ও সিএসই এর নিকট দাখিল করতে হয়। কোন কর্তৃপক্ষের নিকট কখন কোন রিটার্ন বা রিপোর্ট দাখিল করতে হয়, সেই বিষয়ে বিস্তারিত এখানে ছকে তুলে ধরা হলো।
কোম্পানীর কোম্পানী সেক্রেটারী বা দায়িত্বপ্রাপ্ত ব্যক্তি সহজেই তার Compliance Calendar মেনে যথাযথ সময়ে রিটার্ন বা রিপোর্টসমূহ যথাযথ কর্তৃপক্ষের নিকট দাখিল করতে পারবে।
